Terms of Service

1. Who you are contracting with
These Terms of Service ("Terms") form a binding agreement between you and Leonard Otieno Okong'o, trading as "ElimuPath AI" ("we", "us", "our"). By creating an account, accessing, or continuing to use ElimuPath AI (the "Service"), you agree to these Terms. If you do not agree, do not use the Service.
2. The Service
ElimuPath AI is a future-direction platform for schools that turns student and academic data into clear pathways and recommendations. Career and academic pathway suggestions are indicative and intended to guide exploration, not to replace professional advice.
3. Eligibility and accounts
You must be of legal age in your jurisdiction and, if signing up on behalf of an organisation, have authority to bind it. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account, and you agree to provide accurate information and keep it updated.
4. Acceptable use
You agree not to misuse the Service, including by:
- Using it for any unlawful, fraudulent, or deceptive purpose;
- Sending spam or unsolicited messages;
- Infringing intellectual property or privacy rights of others;
- Interfering with the security of the Service (including malware, probing, scanning, or scraping);
- Reverse engineering or attempting to derive source code, except where allowed by law;
- Reselling or redistributing the Service without our written consent.
5. Intellectual property
We retain all rights, title, and interest in and to the Service, including the software, documentation, and branding. You receive a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your selected plan.
6. Your content
You retain ownership of the data and content you upload. You grant us a limited licence to host, store, and process your content solely to operate and improve the Service for you.
7. Payments, subscriptions, and billing
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellation, and refund mechanics are governed by Paddle's Buyer Terms. Subscriptions renew automatically for the chosen billing period until cancelled. Refunds are handled in line with our Refund Policy.
8. Service availability
We work hard to keep the Service available, but we do not guarantee uninterrupted or error-free operation. Features may change as the Service evolves.
9. Suspension and termination
We may suspend or terminate your access for material breach of these Terms, non-payment, fraud or security risk, or repeated or serious policy violations. On termination, your right to use the Service ends and we may delete your data after a reasonable export window.
10. Disclaimers and liability
To the fullest extent permitted by law, the Service is provided "as is" without warranties of any kind, whether express or implied (including merchantability and fitness for a particular purpose). We are not liable for indirect, consequential, or special damages, including loss of profits, data, or goodwill. Our aggregate liability is capped at the fees you paid us in the 12 months before the claim. Nothing in these Terms limits liability for fraud, death, or personal injury where the law does not allow such limits.
11. Indemnity
You agree to indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these Terms.
12. Governing law and disputes
These Terms are governed by the laws of the Republic of Kenya. The courts of Nairobi, Kenya have exclusive jurisdiction over any dispute, subject to any mandatory consumer protections in your country of residence.
13. Changes
We may update these Terms from time to time. Material changes will be notified through the Service or by email, and continued use means you accept the updated Terms.
